Agreement to Terms

These Terms of Use ("Terms") govern your access to and use of www.Streamerclips.com and any related content, tools, and services (the "Services"), provided by aiuniverse.one Inc. By using the Services, you accept these Terms.

Eligibility and Accounts

You must be at least 18 to use the Services. You are responsible for your account credentials and all activity under your account. Notify us of unauthorized use promptly.

Permitted Use and Rules

You agree not to:

Violate any law or third-party rights.
Post or transmit unlawful, defamatory, infringing, harmful, or deceptive content.
Interfere with or disrupt the Services or circumvent access controls.
Introduce malware or attempt unauthorized access.
Scrape, crawl, or harvest data without our written permission, except as permitted by our Data License or documented robots.txt.
Use the Services for high-risk activities where failure could cause harm.

User Content and License to Company

If you submit or post content ("User Content"), you represent you have necessary rights. You grant Company a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, reproduce, adapt, publish, display, perform, distribute, and otherwise use User Content to operate, promote, and improve the Services. You retain ownership of your User Content.

Our Content and IP

The Services, including text, graphics, designs, software, and compilations, are owned by or licensed to Company. Except as expressly allowed, you may not copy, modify, distribute, reverse engineer, or create derivative works.

Third-Party Services and APIs

The Services may integrate third-party tools (e.g., analytics, media embeds, data sources). We do not control third-party services and are not responsible for their content or availability. Your use of third-party services may be subject to their terms.

Feedback

If you provide feedback or suggestions, you grant Company a perpetual, irrevocable, sublicensable, transferable, royalty-free license to use them for any purpose without compensation.

Disclaimers & Limitation of Liability

The Services are provided "AS IS" and "AS AVAILABLE." We make no warranties of any kind, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability.

To the maximum extent permitted, Company is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, data, or goodwill. Our aggregate liability for direct damages will not exceed the greater of US$100 or the amount you paid us for the Services in the 12 months before the claim.

Indemnification

You will defend, indemnify, and hold harmless Company and its affiliates, officers, directors, employees, and agents from claims arising out of your use of the Services, your User Content, or your breach of these Terms.

Termination and Suspension

We may suspend or terminate access to all or part of the Services at any time, with or without notice, including for suspected violations or operational reasons. Sections that by nature should survive will survive termination.

Changes to Services or Terms

We may modify the Services or these Terms at any time. Material changes will be communicated by reasonable means. Continued use after changes become effective constitutes acceptance.

Governing Law and Disputes

These Terms are governed by the laws of Delaware. Any dispute will be resolved by binding arbitration administered by the American Arbitration Association (AAA) in New York, New York. Proceedings will be conducted on an individual basis to the extent permitted by law.
